This Online Training Purchase Agreement (the "Agreement") is entered into as of the date of acceptance by the Purchaser. WHEREAS, the Provider offers online training courses, programs, and/or educational content (the "Training") available for purchase on their website or platform, and WHEREAS, the Purchaser desires to purchase access to the Training as outlined in this Agreement.
1. PURPOSE AND SCOPE
The purpose of this Agreement is to set forth the terms and conditions under which the Purchaser agrees to purchase and access the online Training provided by the Provider. The details of the Training, including course name, content, price, and any associated materials, will be made available on the Provider’s website.
2. TRAINING DESCRIPTION
The Provider will offer the following training to the Purchaser:
- Training Platform: Restoration Training Online
- Description: Guidance for business operations, efficiency, profitability and growth. Provides written worksheets, documents and procedures.
- Format: Video, PDF, surveys and other written and virtual content
3. PAYMENT TERMS
a. The total cost for the online Training is listed on the training website and varies based on the content.
b. The Purchaser agrees to pay the full amount at the time of purchase via the available online credit card payment method.
c. Payment is due upon purchase, and access to the Training will be provided only after the full payment is received and processed.
4. GRANT OF LICENSE
a. Upon payment, the Provider grants the Purchaser a non-exclusive, non-transferable, and revocable license to access and use the Training during the access period specified.
b. The Training is provided solely for the Purchaser’s personal or internal use and cannot be shared, resold, or redistributed without the express written consent of the Provider.
5. ACCESS TO TRAINING
The Purchaser will receive access to the Training through an online platform or website provided by the Provider. Access will be granted after the Purchaser’s successful payment, and the Purchaser will be given login credentials, where applicable.
6. REFUND AND CANCELLATION POLICY
a. The Purchaser may be entitled to a refund in accordance with the Provider’s refund policy, which can be found on the website.
b. Refund requests must be submitted in writing within [3 days] of purchase and must meet the conditions set forth in the refund policy.
c. After the refund period has passed, no refunds will be issued.
7. CONFIDENTIALITY
The Purchaser agrees to keep any confidential or proprietary information provided in the Training (including, but not limited to, course content, materials, strategies, etc.) confidential and agrees not to share or disclose it to any third parties.
8. INTELLECTUAL PROPERTY
a. All content, materials, and intellectual property related to the Training, including videos, presentations, written materials, and other content, remain the sole property of the Provider.
b. The Purchaser agrees not to copy, reproduce, distribute, or otherwise use any part of the Training content for commercial purposes.
9. LIMITATION OF LIABILITY
a. The Provider makes no representations or warranties regarding the effectiveness, outcome, or results of the Training. The Purchaser understands that the success of the Training depends on their participation and individual circumstances.
b. In no event will the Provider be liable for any indirect, special, or consequential damages arising out of or related to this Agreement or the use of the Training.
10. TERMINATION
a. The Provider reserves the right to terminate or suspend the Purchaser’s access to the Training if the Purchaser breaches any terms of this Agreement.
b. Upon termination, the Purchaser must cease using the Training and destroy any materials provided.
11. DISPUTE RESOLUTION
Any disputes arising from this Agreement shall be resolved through arbitration in Oregon. If a legal action is necessary, it will be held in the appropriate courts in Eugene, Oregon.
12. GOVERNING LAW
This Agreement will be governed by and construed in accordance with the laws of Oregon and the United States, without regard to its conflict of laws principles.
13. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior agreements or understandings. Any modifications or amendments to this Agreement must be in writing and signed by both parties.
14. ACCEPTANCE
By completing the online payment process and accessing the Training, the Purchaser electronically agrees to be bound by the terms and conditions of this Agreement.
By clicking "I Agree" or completing the purchase, the Purchaser acknowledges they have read and understood the terms and conditions of this Agreement.
